The litigation targets Columbia-based EquipmentShare following a June 24 report by Umibozu Research. The report claimed the company funneled significant payments through entities controlled by its own co-founders, specifically highlighting the firm's proprietary OWN program. These allegations triggered a sharp market reaction, with shares dropping 6.6% on the day of the disclosure and another 11.7% the following day. By the time the legal action commenced, the stock had shed over 34.5% of its value from the initial public offering price of $24.50 per share. Plaintiffs argue that these undisclosed financial arrangements were omitted from public filings made during the company’s January 2026 IPO.
