The complaint, filed by the law firm Wolf Haldenstein Adler Freeman & Herz LLP, centers on claims that the company failed to disclose critical vulnerabilities in its business model. According to the suit, executives allegedly downplayed risks associated with shifting consumer sentiment and macroeconomic pressures, while simultaneously painting an overly optimistic picture of the brand’s internal recovery efforts.
The facade crumbled on August 6, 2026, when the pizza chain announced an 8.3% decline in North American comparable sales. The company subsequently slashed its fiscal 2026 outlook and suspended its quarterly dividend, prompting CEO Todd Allan Penegor to acknowledge that the firm’s transformation was lagging behind schedule. Investors responded to the disclosure by driving the share price down 17.18%, or $5.11, to close at $24.64 that day.
