Persistent Systems Secures Majority Stake in Nagarro

Persistent Systems has officially gained control of Nagarro SE, securing 83.25% of the company's outstanding share capital following the expiration of its initial takeover offer. The acquisition, executed through its subsidiary Galaxy Germany Holding, marks a pivotal move toward consolidating the two firms into a global leader in AI-driven digital engineering.

The successful tender process saw 7.57 million Nagarro shares committed to the offer, representing 61.15% of the company's capital. This figure, combined with a 22.10% stake previously acquired from Lantano Beteiligungen GmbH, comfortably surpassed the required 50% threshold. Shareholders who have not yet participated have a final two-week window, running from September 23 to October 6, 2026, to tender their holdings at the established price of EUR 81.00 per share.

Persistent CEO Sandeep Kalra described the acquisition as a strategic alignment designed to capture immediate value and accelerate growth in the digital engineering sector. Looking ahead, the company plans to delist Nagarro from the Frankfurt Stock Exchange’s Prime Standard, a move expected to conclude by the end of the first quarter of 2027. While this transition will likely result in the firm’s exit from the SDAX index and lower overall stock liquidity, Nagarro’s management has indicated support for the delisting process, pending final regulatory approvals.
