TORM plc Expands Share Capital Following RSU Incentive Exercise

TORM plc has increased its share capital by 61,105 Class A shares, a move triggered by the exercise of Restricted Share Units under the company’s incentive program. This issuance, representing a nominal value of USD 611.05, proceeds without pre-emption rights for existing shareholders.

The newly issued shares comprise 57,772 units subscribed at DKK 179.80 each, alongside 3,333 units at DKK 124.20 per share. These instruments are ordinary shares, granting holders full dividend rights effective from the date of issuance. The company expects the shares to be admitted to trading on Nasdaq Copenhagen shortly.

Following this transaction, the total share capital of the Denmark-headquartered tanker operator now stands at USD 1,027,118.82, divided into 102,711,882 A-shares. Each share carries a single vote. While the move is a standard administrative step for the firm's equity-based compensation, the company noted that transfer restrictions may apply in specific jurisdictions, including under U.S. securities laws.
