Infineon to Acquire Ams-Osram Sensor Unit for $886 Million

Semiconductor giant Infineon Technologies has agreed to acquire the non-optical analog and mixed-signal sensor business of Ams-Osram in an all-cash deal valued at 750 million euros ($886.1 million). The divestment, announced Tuesday, marks a strategic pivot for Ams-Osram as it narrows its focus toward core optical technologies while offloading assets serving the automotive, industrial, and medical sectors.

The transaction includes a comprehensive portfolio of intellectual property and approximately 230 employees currently dedicated to the division. While the sale offloads the design and development of these non-optical sensors, Ams-Osram will retain its production facilities. Under the terms of the agreement, the company will continue to provide manufacturing services to Infineon for a multi-year period to ensure a stable supply chain transition.

The business unit being sold generated roughly 220 million euros in annual revenue in 2025, according to Ams-Osram. For Infineon, the acquisition strengthens its foothold in critical growth areas, particularly in automotive and industrial applications where analog sensing is vital. Ams-Osram management indicated the move is part of a broader effort to streamline its balance sheet and concentrate resources on its market-leading optical and emitter products.

Transaction Timeline and Outlook

The deal is expected to conclude in the second quarter of the year, subject to customary regulatory approvals. This divestiture follows a period of restructuring for Ams-Osram as it navigates the capital-intensive semiconductor landscape. By transitioning to a manufacturing partner for Infineon rather than a direct competitor in this niche, Ams-Osram secures a multi-year revenue stream while reducing its operational footprint and debt load.
