The transaction includes $200 million in cash alongside 85 million shares of Ondas stock, with over half of that equity subject to a six-month lock-up period. Dzyne Technologies specializes in long-endurance unmanned aircraft and advanced intelligence, surveillance, and reconnaissance platforms, providing the technological backbone for the expansion.
Ondas plans to merge the newly acquired entity with its World View business to establish Ondas Sentinel, a dedicated division tasked with unifying the company's autonomous defense offerings. Following the close of the deal, Highlander Partners and the other former owners of Dzyne will retain an approximate 13.8% stake in the combined organization.
