The legal scrutiny centers on three distinct corporate transactions. Solstice Advanced Materials (NASDAQ: SOLS) is currently under review regarding its merger with Element Solutions. Simultaneously, the firm is examining the sale of LXP Industrial Trust (NYSE: LXP) to Brookfield Asset Management and the Canada Pension Plan Investment Board, a deal valued at $61.20 per share.

The investigation also targets AtaiBeckley Inc. (NASDAQ: ATAI) following its agreement to be acquired by Eli Lilly and Company. That transaction includes a base price of $6.75 per share, supplemented by a Contingent Value Right worth up to $2.50 per share, tied to specific regulatory milestones for the BPL-003 and VLS-01 programs. Halper Sadeh aims to determine if these arrangements block superior competing offers or fail to provide adequate transparency for investors. The firm, based in New York, is currently evaluating options to seek increased compensation or additional disclosures for affected shareholders.
