Vision Marine Moves Toward Reverse Takeover of Defense Tech Firm

Vision Marine Technologies has signed a non-binding letter of intent to acquire an undisclosed private defense-technology firm in a reverse takeover. The proposed deal, aimed at shifting the company's focus from electric marine propulsion to autonomous and aerial defense systems, would leave existing shareholders with a minority stake in the combined entity.

Under the terms of the proposal, shareholders of the unnamed counterparty would control approximately 97.1% of the combined company, while current Vision Marine investors would hold roughly 2.9%. This stake could increase to 5.7% depending on performance milestones related to maritime autonomy and government contracts. The companies intend to finalize definitive agreements by October 15, 2026, targeting a total transaction completion by the end of the year.

CEO Alexandre Mongeon characterized the move as a natural progression for the firm, noting that the evolution of marine propulsion now requires integrated artificial intelligence and secure communications. The counterparty, which specializes in unmanned aerial systems, claims potential demand for its technology within NATO and allied defense circles. However, the transaction remains highly conditional. It requires a concurrent financing of at least $25 million and a $100 million threshold in binding purchase orders for 2027 deliveries. Until the deal closes, both entities will continue to operate independently.
